Terms of Service

These Terms of Service ("Terms") govern your use of the website at www.byrdbrains.shop (the "Site") operated by BYRD BRAINS MEDIA, LLC ("Byrd Brains," "we," "us"), a Utah limited liability company at 702 S Carterville Rd, Orem, UT 84097. By browsing the Site or submitting an inquiry, you accept these Terms. If you do not agree, do not use the Site.

1. What This Site Is

The Site is an informational brochure for an operating ground station: it describes our bands, services, procedures and how to reach the ops desk. It is not a service portal, provisioning system or marketplace. Nothing on the Site constitutes an offer to provide telecommunications, ground-station or tracking services; quotations and contracts are issued only in writing after an inquiry is evaluated.

2. No Contract by Browsing

Viewing a channel, submitting the pass request slip, or exchanging messages with the desk opens an inquiry — not a service contract, pass reservation or capacity commitment. A binding agreement arises only when both parties execute written terms covering service, schedule, deliverables, price and compliance conditions. We may decline any inquiry at our discretion, including where licensing, coordination or capacity does not support it.

3. Informational Content Only

Descriptions of services, bands, procedures and coverage are general information, not engineering, legal, regulatory or procurement advice. Link budgets, interference environments and pass availability depend on your mission parameters; decisions about procurement, licensing or operations should be made with your own engineers, attorneys and regulatory consultants.

4. Licensing & Regulation — Read This Carefully

  • Client-supplied telecom: access-band services (dial-up, online access, VoIP) operate over telecommunications connections supplied by the client. We are not a facilities-based carrier; the client is responsible for procuring and lawfully using the underlying circuits.
  • Spectrum stays with the licensee: earth-station, radar, telemetry and tracking services are delivered within the client's or site operator's frequency authorizations, coordination agreements and regulatory filings. The Site's description of these services is not an offer to transmit on any frequency or to operate in any jurisdiction where authorization is absent.
  • Buyer's burden: it is your responsibility to hold the licenses, coordinations and approvals your mission requires, and to not request operations that would violate any law or license condition.
  • No authorization by website: this Site grants no license, coordination, or regulatory authorization of any kind.

5. Export Control & Technical Data

Satellite, telemetry and radar-related technical information may be controlled under U.S. export laws (including ITAR and EAR). Do not submit export-controlled technical data through this Site or its inquiry form. Any transfer of controlled data must occur under an executed agreement with appropriate handling provisions. You represent that any information you submit is not export-controlled or that you have authority to share it as provided.

6. Acceptable Use

You agree not to: scrape or bulk-harvest the Site's content; probe, scan or attack the Site or its hosting; submit false, misleading or unlawful inquiries (including requests to operate outside license authority); misrepresent your identity, license status or authority; or use the Site in any way that violates applicable law. We may block access and report unlawful conduct.

7. Intellectual Property

The Site's text, layout, illustrations (including the dish and pass-chart artwork), branding and the "Downlink" design system are the property of BYRD BRAINS MEDIA, LLC or its developer and are protected by copyright and other laws. You may view and share links to the Site; you may not reproduce, republish or adapt its content or artwork without written permission.

8. Third-Party Links & Services

The Site may link to third-party sites or rely on third-party infrastructure (hosting, fonts). We do not control and are not responsible for third-party content, policies or availability. Following a link is at your own discretion.

9. Disclaimers

The Site is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Site will be uninterrupted, error-free or free of harmful components, or that any service, window or coverage will be available as described.

10. Limitation of Liability

To the maximum extent permitted by law, BYRD BRAINS MEDIA, LLC and its members, managers, employees and developer are not liable for indirect, incidental, consequential, special or punitive damages — including lost profits, lost passes, lost data or business interruption — arising from or related to use of the Site or reliance on its content. Our total aggregate liability for claims arising from the Site shall not exceed one hundred U.S. dollars (US$100). Nothing in this section limits liability that cannot be limited by law.

11. Indemnification

You agree to defend, indemnify and hold harmless BYRD BRAINS MEDIA, LLC from claims, losses and expenses (including reasonable attorneys' fees) arising from your violation of these Terms, your misuse of the Site, or your breach of applicable law — including unlicensed-operation or export-control violations.

12. Governing Law

These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law rules, and by applicable U.S. federal law. Communications, licensing and export-control rules apply as written, and nothing here overrides them.

13. Disputes

Any dispute arising from the Site or these Terms shall be brought exclusively in the state or federal courts located in or covering Utah County, Utah, and you consent to their jurisdiction. Before filing, the parties will attempt good-faith resolution through the ops desk for at least thirty days. Any claim must be brought within one year after it accrues or is barred.

14. Severability, Waiver & Changes

If a provision of these Terms is held unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. We may update these Terms; the current version is posted here and material changes take effect on posting unless stated otherwise.
